1. Agreement
These Terms of Service ("Terms") are a contract between you and Atoll Architect ("Atoll", "we", "us"). By accessing or using our website, products, or services (the "Services"), you agree to these Terms. If you do not agree, do not use the Services.
2. Services and eligibility
Atoll provides diagramming software and related tools for enterprise architecture. Use of certain features requires an account and payment. You must be at least 16 years old and have authority to form a binding contract to register for an account.
3. Accounts and access
- You agree to provide accurate information and keep your account credentials secure.
- You are responsible for activity on your account and for charges incurred under it.
- We may suspend or terminate accounts that violate these Terms or pose security risks.
4. Subscriptions and payments
Paid plans, pricing and billing terms are described on our pricing page. Fees are non-refundable except as required by law or as expressly stated. We may change prices with notice. You authorize recurring charges to your payment method until you cancel.
5. User content and license
You retain ownership of content you upload or create in the Services ("User Content"). By using the Services you grant Atoll a limited, non-exclusive license to host, store, and operate the Services, display your content to your account users, and perform related technical and security functions.
You warrant that you have the rights to submit User Content and that it does not infringe third-party rights or violate law.
6. Acceptable use
You must not use the Services to violate laws or harm others. Prohibited conduct includes: attempting unauthorized access, distributing malware, infringing intellectual property, and sending spam. We may remove content or restrict access for violations.
7. Security and data
We use technical and organisational measures to protect data. Our Privacy Policy explains how we collect and process personal information. You are responsible for maintaining backups of your User Content and for configuring security settings for shared accounts.
8. Intellectual property
All intellectual property in the Services and Atoll branding is owned by Atoll or its licensors. These Terms do not transfer ownership of those rights to you. You may use the Service as permitted, but may not reproduce or distribute our trademarks without permission.
9. Warranties and disclaimers
To the extent permitted by law, the Services are provided "as is" and we disclaim all warranties, whether express or implied, except as expressly stated in these Terms. We do not guarantee error-free operation or uninterrupted availability.
10. Limitation of liability
Except as required by law, Atoll's total liability arising from or related to these Terms or the Services shall not exceed the fees paid by you to Atoll in the 12 months prior to the claim. We are not liable for indirect, incidental or consequential damages.
11. Termination
You may cancel your subscription at any time. We may suspend or terminate accounts for violations, inactivity, or legal reasons. On termination, access to the Services ends. We may retain certain data where required by law or for legitimate business purposes.
12. Changes to these Terms
We may modify these Terms. Material changes will be notified on the site or by email to account holders. Continued use after notice constitutes acceptance of the updated Terms.
13. Governing law and disputes
These Terms are governed by the laws of the Commonwealth of Australia. Any disputes will be resolved in the courts of the relevant Australian jurisdiction unless otherwise required by applicable law.
